If you do not agree to these terms, please do not use our Service. These Terms constitute a legally binding agreement between you ("User", "you", or "your") and FINALDOC TECHNOLOGIES PRIVATE LIMITED ("Company", "we", "us", or "our"), the owner and operator of InvoiceKaro.

InvoiceKaro is a cloud-based GST billing and invoicing platform designed for Indian businesses. Our Service includes: • Creation and management of GST-compliant invoices • Automatic calculation of CGST, SGST, and IGST • Customer and vendor management • Payment tracking and reminders • AI-powered bill scanning and digitization • Business analytics and reporting • Cloud storage and backup of financial data • Generation of GST-ready reports (GSTR-1, GSTR-3B) The Service is provided "as is" and we reserve the right to modify, suspend, or discontinue any aspect of the Service at any time.

To use certain features of the Service, you must register and create an account. You agree to: • Provide accurate, current, and complete information during registration • Maintain and promptly update your account information • Keep your login credentials confidential and secure • Notify us immediately of any unauthorized access to your account • Accept responsibility for all activities that occur under your account You must be at least 18 years old and legally capable of entering into binding contracts to use this Service. If you are using the Service on behalf of a business entity, you represent that you have the authority to bind that entity to these Terms.

While InvoiceKaro provides tools to help you create GST-compliant invoices and reports, you acknowledge that: • You are solely responsible for the accuracy of your tax filings and compliance with GST laws • InvoiceKaro is a facilitation tool and does not provide tax advice • You should verify all GST calculations and consult a qualified tax professional • We are not liable for any errors, penalties, or consequences arising from incorrect tax filings • You are responsible for maintaining proper records as required by GST regulations • The HSN/SAC codes provided are for reference only and should be verified GST rates and rules are subject to change by the Government of India. While we strive to keep our system updated, you should verify current rates and regulations independently.

InvoiceKaro offers both free and paid subscription plans: Free Plan: • Limited to 50 invoices per month • Basic features and email support Paid Plans (Basic & Pro): • Monthly or annual billing cycles • Payment via UPI, credit/debit cards, or net banking • Auto-renewal unless cancelled before the renewal date • No refunds for partial month usage By subscribing to a paid plan, you authorize us to charge your payment method on a recurring basis. You may cancel your subscription at any time through your account settings. Cancellation will take effect at the end of your current billing period. We reserve the right to modify pricing with 30 days' prior notice. Continued use of the Service after price changes constitutes acceptance of the new pricing.

Your Data: • You retain full ownership of all data you input into InvoiceKaro • You grant us a limited license to process your data solely for providing the Service • You can export your data at any time in standard formats (PDF, Excel, CSV) • Upon account termination, your data will be retained for 90 days, after which it may be deleted Our Rights: • We may use anonymized, aggregated data for analytics and service improvement • We will not sell or share your personal business data with third parties without consent • We may access your data to provide support, troubleshoot issues, or comply with legal requirements

You agree not to use InvoiceKaro to: • Create fraudulent, fake, or misleading invoices • Evade taxes or facilitate tax evasion • Violate any applicable laws or regulations • Infringe upon intellectual property rights of others • Transmit malware, viruses, or harmful code • Attempt to gain unauthorized access to our systems • Use automated systems to access the Service without permission • Engage in any activity that disrupts or interferes with the Service Violation of these terms may result in immediate account suspension or termination without refund.

All content, features, and functionality of InvoiceKaro, including but not limited to: • Software code and algorithms • User interface design and graphics • Logos, trademarks, and brand elements • Documentation and help content are owned by FINALDOC TECHNOLOGIES PRIVATE LIMITED and are protected by Indian and international copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of our Service or software without our explicit written permission.

To the maximum extent permitted by applicable law: • InvoiceKaro is provided "as is" without warranties of any kind • We do not guarantee uninterrupted, error-free, or secure access to the Service • We are not liable for any indirect, incidental, special, or consequential damages • Our total liability shall not exceed the amount paid by you in the 12 months preceding the claim • We are not responsible for any loss of data, revenue, or business opportunities You acknowledge that the Service may have occasional downtime for maintenance, updates, or unforeseen technical issues.

You agree to indemnify, defend, and hold harmless FINALDOC TECHNOLOGIES PRIVATE LIMITED, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from: • Your use of the Service • Your violation of these Terms • Your violation of any third-party rights • Any content or data you submit through the Service • Your non-compliance with applicable tax laws

Either party may terminate this agreement at any time: • You may close your account through the account settings or by contacting support • We may suspend or terminate your account for violation of these Terms • We may terminate inactive accounts after 12 months of non-use Upon termination: • Your access to the Service will be revoked • Paid subscriptions will not be refunded for partial periods • You may request export of your data within 30 days of termination • Certain provisions of these Terms will survive termination

These Terms shall be governed by and construed in accordance with the laws of India, without regard to conflict of law principles. Any disputes arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts in Bangalore, Karnataka, India. Before initiating legal proceedings, parties agree to attempt resolution through good-faith negotiation for a period of 30 days.

We reserve the right to modify these Terms at any time. We will notify users of material changes through: • Email notification to registered users • Prominent notice on our website or app • In-app notification upon login Continued use of the Service after changes take effect constitutes acceptance of the modified Terms. If you do not agree with the changes, you should discontinue use of the Service.
